Partner Terms

Section 01

Scope and Order of Precedence

These Partner Terms ("Partner Terms") form a legally binding agreement between VoyageMais, LLC, a California limited liability company ("VoyageMais," "we," "us," or "our"), and the business or professional that signs up for a VoyageMais partner plan ("Partner" or "you"). They apply to the Bronze, Silver, Gold, and Platinum partner plans, to the Community, Strategic, and Alliance Partner institutional packages, and to any add-ons purchased with them (together, "partner plans").

Our Terms of Use also apply to your use of the VoyageMais website located at www.voyagemais.com (the "Site"). Our Privacy Policy explains how we handle personal information.

If documents conflict, the following order controls:

1. A signed written agreement between you and VoyageMais, such as a VM Services Agreement.
2. The order form, checkout page, or offer terms for your plan or promotion.
3. These Partner Terms.
4. The Terms of Use.

Section 02

Eligibility and Partner Accounts

Partner plans are for businesses, professionals, educational institutions, and nonprofit organizations acting for business or institutional purposes, such as travel advisors, tour operators, study abroad and relocation advisors, real estate professionals, colleges and universities, and study abroad programs. Institutional packages are available to nonprofit study abroad programs, colleges and universities, and educational nonprofits. By signing up, you confirm that:

• You are at least 18 years old and have authority to accept these Partner Terms for the business you represent.
• The information you provide to us, including your business name, principal place of business, and contact and billing details, is accurate, and you will keep it up to date.
• You are responsible for all activity under your partner account and for keeping access to it secure.

VoyageMais may decline any partner application at its discretion.

Section 03

Partner Plans

Each partner plan includes the features described for that plan at the time you sign up, as shown on your order form, checkout page, or offer terms. Add-ons, such as additional directory listings, are billed as separate line items on your subscription.

Some features are described as available "once live." VoyageMais does not promise a launch date for these features, and your price is not reduced before they launch.

Platinum plans and institutional packages are priced individually. Their details, including any institutional pricing adjustments, are set out in your order form or signed agreement.

Free Trials and Promotions

Billing and Automatic Renewal

• Billing periods. Partner plans are billed monthly, quarterly, or annually, at the start of each billing period. Institutional packages are billed quarterly or annually; monthly billing is available for institutional trial periods only.
• Renewal reminders. For annual plans, we will email you a reminder at least 30 days before each renewal, stating the renewal date, the price, and how to cancel.
• Currency. Prices are listed in U.S. dollars, euros, or British pounds. At checkout, you may be able to pay in your local currency; the converted amount is shown before you pay and may vary slightly with exchange rates.
• Taxes. Prices do not include taxes. You are responsible for any applicable sales, use, value-added, or similar taxes. Business customers in the European Union or United Kingdom may provide a VAT number so the reverse-charge mechanism can apply where permitted.
• Payment processing. Payments are processed by Stripe. By signing up, you authorize VoyageMais, through Stripe, to charge your payment method for each billing period until you cancel.
• Failed payments. If a payment fails, Stripe will retry it automatically. If payment is still overdue after the retries, we may pause your listings and plan features, and we will email you the reason. If payment remains overdue after your plan is paused, we may end your plan. For partners established in the European Union, we will give at least 30 days' notice before ending a plan for non-payment.

Section 06

Price Changes

We may change the price of a partner plan or add-on. We will email you at least 30 days before a new price applies to you. For annual plans, a new price applies only from your next renewal. If you do not wish to continue at the new price, you may cancel before it takes effect.

Section 07

Least Developed Country (LDC) Pricing

Partners whose principal place of business is in a country on the United Nations' current list of Least Developed Countries are eligible for 50% off partner plan base prices and add-ons, or 50% off the package rate for institutional packages ("LDC pricing"). We may ask for proof of your principal place of business at any time.

• Your responsibility. You are responsible for tracking whether your country remains on the UN list. VoyageMais is not obligated to notify you when a country leaves the list.
• If your country leaves the list. The regular price applies from your next billing date after your country leaves the list, whether you are billed monthly, quarterly, or annually. If that billing date is less than 30 days after your country leaves the list, the regular price applies from the billing date after it.
• If you relocate. You must tell us within 30 days if your principal place of business moves. Pricing for your new location applies from your next billing date.
• New sign-ups. Pricing is based on your eligibility at the time you sign up.

Section 08

Cancellation and Refunds

You may cancel your partner plan at any time online through the billing portal linked in your receipts, or by emailing contact@voyagemais.com.

• During a free trial. If you cancel before your trial ends, you will not be charged.
• After a paid period starts. Cancellation takes effect at the end of your current billing period. Your listing and plan features remain active until then.
• Monthly plans. We do not provide refunds or credits for partial months.
• Quarterly and annual plans. Fees for a quarterly or annual period are paid in advance and are not refunded. If you cancel, your plan remains active until the end of the paid period and does not renew.
• If VoyageMais ends your plan early. If we end your plan without cause, or because of our own breach of these Partner Terms, we will refund any prepaid fees for the unused portion of your billing period.

Section 09

Listings and Partner Content

"Partner Content" means the information and materials you provide for your listings and other plan features, including names, photos, logos, business descriptions, languages, credentials, contact details, and property information.

Section 10

Placement, Ranking, and Sponsored Content

VoyageMais does not guarantee any number of views, inquiries, leads, clients, or sales.

Section 11

Social Media, Podcast, and AI Assistant Features

Where your plan includes social media inclusions, podcast mentions, or AI Assistant placements:

• VoyageMais keeps editorial control over its content, scheduling, and channels.
• All paid inclusions are disclosed as paid partnerships or sponsored content, as advertising laws and platform rules require.
• We will only make claims about your business that you can support. You must not ask us to make claims you cannot support.
• AI Assistant placements are available only once the AI Assistant is live and are shown as sponsored, separate from the Assistant's answers.

Section 12

Insights Seats

Each Insights seat gives one named user access to VoyageMais Travel and Expat Insights on the web and app. Seats may be used for your internal business purposes, which is an exception to the personal, non-commercial limits in the Terms of Use. Seats may not be shared among users, resold, or used to copy, scrape, or redistribute VoyageMais content.

Section 13

Data and Privacy

• Each party is responsible for the personal information it controls, including its own contacts and leads, under applicable data protection laws.
• Visitors contact you directly using the contact details in your listing. VoyageMais does not receive those messages, and you handle them under your own privacy policy.
• VoyageMais shares only aggregate performance data with partners, never information that identifies individual visitors.
• If VoyageMais processes personal information on your behalf, a data processing addendum will apply.

Our Privacy Policy describes how we handle the personal information of partners and their contacts.

Section 14

Suspension and Termination

VoyageMais may suspend or restrict your listings or plan features if you breach these Partner Terms, if your Partner Content is inaccurate or unlawful, or if payment is overdue as described in Section 5. We will tell you the reason before or when the suspension takes effect.

VoyageMais may end your plan by giving you 30 days' notice by email, stating the reason. We may end your plan immediately for a serious breach, unlawful activity, or conduct that puts visitors, other partners, or VoyageMais at risk.

If you believe a suspension or termination was made in error, you may ask us to review it by emailing contact@voyagemais.com.

Section 15

Changes to These Partner Terms

We may update these Partner Terms. We will email you at least 30 days before material changes take effect and update the "Last Updated" date at the top of this page. If you do not agree to the changes, you may cancel before they take effect. If you keep your plan after that date, the updated Partner Terms apply.

Disclaimers, Limitation of Liability, and Indemnification

Governing Law and Dispute Resolution

These Partner Terms are governed by the laws of the State of California, United States, without regard to its conflict of law principles.

The parties will first try to resolve any dispute arising out of or relating to these Partner Terms through good-faith negotiation. If the dispute is not resolved within 30 days, the parties will try mediation in San Mateo County, California, before pursuing litigation. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in San Mateo County, California.

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its confidential information or intellectual property. Nothing in these Partner Terms limits rights that the law of your jurisdiction does not allow to be waived by contract.

Section 18

Language

These Partner Terms are available in English, French, Spanish, Portuguese, Chinese, and Arabic. Some language versions include provisions specific to certain jurisdictions.

• English is the main version and controls, except as stated below.
• Canada: the English and French versions are equally authoritative. Partners in Quebec receive the French version first.
• China: for partners in mainland China, the Chinese version controls.
• Spanish, Portuguese, and Arabic versions are translations provided for convenience. If a translation conflicts with the English version, the English version controls.
